Terms of Service

ProDispatch (“ProDispatch”, “we”, “us”) is operated by an independent individual developer. There is no registered company behind it. By accessing or using our software tools — including InstaSheet and BrokerLoadsBot (the “Services”) — you agree to these Terms of Service. If you do not agree, do not use the Services.

1. The Services

ProDispatch provides focused software tools for US trucking-dispatch workflows. InstaSheet integrates with your own Google Sheet to generate accounting and dispatch reports and deliver them over Telegram. BrokerLoadsBot sends load alerts over Telegram. The exact features of each product are described on its product page and may change over time.

2. Accounts and eligibility

You must provide accurate account information and are responsible for keeping your license credentials confidential. You must be legally able to enter into this agreement and use the Services only for lawful business purposes.

3. Payments, billing, and the Merchant of Record

Purchases and subscriptions are sold and processed by our authorized reseller and Merchant of Record, Lemon Squeezy. Lemon Squeezy handles payment processing, billing, applicable sales tax/VAT, invoices, and receipts. Your payment is a transaction with Lemon Squeezy, and Lemon Squeezy’s own terms and privacy policy also apply to that transaction. Subscriptions renew automatically until cancelled. 4. Acceptable use

You agree not to:

• use the Services in violation of any law or third-party rights;
• resell, sublicense, or redistribute the Services without permission;
• reverse engineer, interfere with, overload, or attempt to gain unauthorized access to the Services or their infrastructure;
• use the Services to process data you are not authorized to handle.

5. Your data

You retain ownership of the dispatch, load, and accounting data you process through the Services. You grant us the limited right to process that data solely to provide the Services to you. How we handle personal data is described in our Privacy Policy.

6. Third-party services

The Services rely on third-party platforms including Google (Sheets and Apps Script), Cloudflare, Telegram, and Lemon Squeezy. Your use of those platforms is subject to their own terms. We are not responsible for the availability or actions of third-party services.

7. Availability and changes

We work to keep the Services running but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services, and may update these Terms. Material changes will be reflected by updating the date above.

8. Suspension and termination

We may suspend or terminate access if you breach these Terms or use the Services in a way that harms the Services, other users, or third parties. You may stop using the Services at any time by cancelling your subscription.

9. Disclaimer and limitation of liability

The Services are provided “as is” and “as available” without warranties of any kind. ProDispatch outputs (reports, alerts, and calculations) are tools to assist your work and should be reviewed before you rely on them. To the maximum extent permitted by law, ProDispatch is not liable for any indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid for the Services in the twelve months before the claim.

10. Governing law

These Terms are governed by the laws of the Republic of Uzbekistan, where the developer is based, without regard to conflict-of-law rules.
